1. Introduction

These Terms and Conditions govern access to and use of Therapeak.

Therapeak is a non-medical digital coaching, wellbeing, education, behavioural support and self-reflection service. It may include AI-supported prompts, conversational tools, exercises, reflections, lifestyle-related content, behavioural nudges, educational materials, user dashboards, reports, account functionality, subscription features and support services.

These Terms apply only to Therapeak. They do not apply to any Therapeak functionality that is expressly supplied as a medical device, medical-device software, medical-device accessory or regulated medical functionality.

By creating an account, using Therapeak, starting a trial, purchasing a subscription or otherwise accessing the service, you agree to these Terms.

If you do not agree to these Terms, you must not use Therapeak.

2. Definitions

In these Terms:

  • "Therapeak", "we", "us" or "our" means THERAPEAK TEKNOLOJİ LİMİTED ŞİRKETİ., a company incorporated under the laws of Turkey, having its registered office at Barbaros Mah., Mor Sümbül Sk. Teknik Yapı Deluxia Palace No:5 A İç Kapı No:158 Ataşehir/İSTANBUL, registered under number 8430920686.
  • "Therapeak" means the Therapeak digital coaching, wellbeing, education, behavioural support and self-reflection service.
  • "Service" means Therapeak, including the website, platform, application, software features, AI-supported functionality, content, account environment, dashboards, reports, subscriptions and support services.
  • "User", "you" or "your" means any person or organisation accessing or using Therapeak.
  • "Consumer" means a natural person acting for purposes outside their trade, business, craft or profession.
  • "Business User" means a user acting for purposes relating to a trade, business, profession, institution, clinic, company or organisation.
  • "Subscription" means a paid recurring access plan for Therapeak.
  • "User Content" means all information, text, responses, files, messages, notes, prompts, feedback or other material submitted by or on behalf of a User.
  • "AI Functionality" means functionality using artificial intelligence, machine learning, automated reasoning, statistical modelling, content generation, summarisation, classification or recommendation techniques.
  • "AI Therapist" means a fictional, computer-generated character presented in the Service under the Therapeak brand. AI Therapists are artificial-intelligence personas with invented names, images and personalities. They are not real persons and are not psychologists, psychotherapists, physicians or other healthcare professionals, and conversations with them do not involve a human professional.
  • "AI Therapy" means the conversation experience with AI Therapists within the Service. It is a Therapeak product name and refers exclusively to the non-medical coaching, wellbeing, education, behavioural support and self-reflection experience described in Section 3. AI Therapy is not medical care, psychotherapy, psychiatric care or psychological treatment, and use of Therapeak does not create a care or treatment relationship with any professional.

References in the Service or in Therapeak communications to "AI Therapy" or "AI Therapists" are references to these defined terms.

3. Nature and Purpose of Therapeak

Therapeak is intended to support general wellbeing, reflection, behavioural awareness, personal development, communication, lifestyle awareness, stress management, habit formation and educational self-support.

Therapeak is not intended to diagnose, prevent, monitor, predict, prognose, treat or alleviate any disease, injury, disability, disorder or medical condition.

Therapeak is not medical care, psychotherapy, psychiatric care, psychological treatment, crisis intervention, emergency care or professional clinical advice.

Therapeak does not replace a physician, psychologist, psychiatrist, therapist, coach, counsellor or other professional.

4. No Medical or Emergency Use

You must not use Therapeak as your sole source of support in a medical, psychological, psychiatric or emergency situation.

You must not rely on Therapeak to:

  1. make or exclude a diagnosis;
  2. assess acute risk;
  3. start, stop or change medication;
  4. start, stop or change therapy or treatment;
  5. delay seeking professional help;
  6. ignore advice from a healthcare professional;
  7. determine whether urgent care is needed;
  8. replace clinical assessment or professional judgement.

If you believe that you or another person may be in immediate danger, may self-harm, may harm others, may be experiencing a medical emergency, severe psychological distress, psychosis, suicidal thoughts or rapid deterioration, you must immediately contact emergency services, a crisis line, your physician, your treating professional or another appropriate healthcare provider.

5. Eligibility and Account Registration

You may use Therapeak only if you are legally capable of entering into a binding agreement.

If you use Therapeak on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

You must provide accurate, complete and up-to-date information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account, unless such activity results from our failure to apply reasonable security measures.

You must notify Therapeak without undue delay if you suspect unauthorised access to your account.

Therapeak is intended for users aged 18 and above. If you are below the applicable minimum age, you may use the Service only with valid consent and supervision from a parent or legal guardian, where permitted by applicable law.

6. Consumer and Business Use

Therapeak may be made available to Consumers, Business Users or both.

If you are a Consumer, you retain all mandatory consumer rights under applicable law. Nothing in these Terms limits or excludes rights that cannot lawfully be limited or excluded.

If you are a Business User, you are responsible for assessing whether Therapeak is suitable for your intended use, organisation, workflow, users, policies and legal obligations.

7. Subscriptions, Fees and Payment

Certain features of Therapeak may require a paid Subscription.

The applicable plan, price, billing period, included features, renewal mechanism, trial conditions, payment method, taxes and any additional charges will be shown before you complete your order.

By purchasing a Subscription, you authorise Therapeak or its payment service provider to charge the applicable fees using your selected payment method.

For Consumers, prices will be shown inclusive of VAT where required by law. For Business Users, prices may be shown exclusive of VAT unless stated otherwise.

You must provide accurate billing information and keep your payment information up to date.

If payment fails, we may suspend or restrict access to paid features after giving you a reasonable opportunity to resolve the issue, unless immediate suspension is justified by fraud, misuse, security risk or legal obligation.

8. Free Trials and Promotions

Therapeak may offer free trials, discounted access, pilot access or promotional offers.

The applicable duration, conditions, included features, price after the trial or promotion, and cancellation options will be disclosed before you start the trial or offer.

If a free trial automatically converts into a paid Subscription, this will be clearly disclosed before the trial starts. You may cancel before the end of the trial period to avoid being charged.

Therapeak may limit, withdraw or modify future trials or promotional offers, provided this does not affect rights already granted to you during an active trial or offer period.

9. Renewal and Cancellation

Unless stated otherwise before purchase, Subscriptions renew automatically at the end of each billing period.

You may cancel your Subscription at any time through your account settings or by contacting us at info@therapeak.com.

After cancellation, you will continue to have access to paid features until the end of the current paid billing period, unless stated otherwise or required by law. You will not be charged for a new billing period after effective cancellation.

Where mandatory consumer law applies, cancellation and renewal terms will be interpreted in accordance with that law. After any initial fixed term, Consumers must be able to terminate in accordance with applicable statutory rules.

10. Consumer Right of Withdrawal

If you are a Consumer in the European Union, you generally have the right to withdraw from an online contract within 14 days after the contract is concluded, without giving any reason.

To exercise your right of withdrawal, you must inform Therapeak of your decision to withdraw by an unequivocal statement, for example by email to info@therapeak.com.

You may use the model withdrawal form included at the end of these Terms, but this is not mandatory.

If you request immediate access to Therapeak during the withdrawal period, we may ask for your express consent to begin performance during that period. Where permitted by law, you may lose your right of withdrawal once performance has begun or once digital content or digital services have been fully supplied, provided that all statutory conditions are met.

If you validly withdraw from the contract, we will reimburse payments received from you in accordance with applicable law, using the same payment method you used for the original transaction, unless you expressly agree otherwise.

11. Acceptable Use

You agree to use Therapeak only for lawful purposes and in accordance with these Terms.

You must not:

  1. use Therapeak for medical diagnosis, treatment, monitoring, prediction, prognosis, emergency support or crisis intervention;
  2. submit false, misleading, unlawful, harmful or unauthorised content;
  3. impersonate another person or misrepresent your identity;
  4. access another user's account;
  5. interfere with the Service, its infrastructure, security or availability;
  6. reverse engineer, decompile, scrape, copy or extract the Service except where mandatory law permits this;
  7. use the Service to harass, abuse, threaten, discriminate against or harm others;
  8. upload malware, viruses or harmful code;
  9. infringe intellectual property rights, privacy rights or other rights of Therapeak or third parties;
  10. use Therapeak to develop competing products, except where mandatory law permits this;
  11. use the Service in a way that may create legal, security, reputational or operational harm.

12. User Content

You are responsible for User Content submitted to Therapeak.

You must ensure that your User Content is accurate, lawful and submitted with all required rights, permissions and consents.

You retain ownership of your User Content.

You grant Therapeak a limited, non-exclusive, worldwide licence to host, process, transmit, display, analyse and use User Content as necessary to provide, secure, maintain, support, improve and develop Therapeak, comply with law, investigate misuse and enforce these Terms.

Where User Content contains personal data, our processing is governed by our Privacy Notice and applicable data protection law.

13. AI Functionality

Therapeak may include AI Functionality.

AI Functionality may generate reflections, prompts, summaries, suggestions, exercises, educational information or other output. Such output may be incomplete, inaccurate, biased, outdated, unsuitable or inappropriate for your individual situation.

You are responsible for evaluating AI-generated output before relying on it.

AI-generated output must not be treated as medical, psychological, psychiatric, legal, financial or other professional advice.

Therapeak may inform users where they interact with AI Functionality or receive AI-generated output, where required by law or reasonably appropriate.

14. No Guaranteed Outcome

Therapeak does not guarantee any particular result, including improvement in wellbeing, behavioural change, symptom reduction, recovery, therapeutic effect, improved relationships, increased productivity or any other personal outcome.

The effectiveness of coaching and self-reflection tools may vary between users and depends on many factors outside Therapeak's control.

15. Availability, Maintenance and Changes

Therapeak aims to keep the Service available, but does not guarantee uninterrupted, error-free or continuous access.

The Service may be unavailable due to maintenance, updates, security measures, outages, third-party failures, force majeure or other operational reasons.

Therapeak may modify, improve, replace, suspend or discontinue parts of Therapeak. For paid Subscriptions, Therapeak will not materially reduce the core functionality during an active billing period without a valid reason, unless an appropriate remedy, alternative or cancellation option is provided where required by law.

16. Updates

Therapeak may provide updates, patches, improvements, security fixes, content updates or new versions.

You may be required to use the current version where this is necessary for security, compatibility, compliance, performance or prevention of misuse.

Therapeak may restrict access to outdated versions where continued use creates security, compliance or operational risks.

17. Third-Party Services

Therapeak may integrate with or rely on third-party services, including hosting providers, analytics tools, payment processors, identity providers, communication tools or app stores.

Third-party services may be subject to separate terms and privacy notices.

Therapeak is not responsible for third-party services that are outside its control, except where mandatory law provides otherwise.

18. Privacy and Data Protection

Therapeak processes personal data in accordance with its Privacy Notice and applicable data protection law.

You must not submit personal data of others unless you have a lawful basis and all required notices, consents and authorisations are in place.

If Therapeak is used by a Business User on behalf of employees, clients, patients, users or other individuals, the Business User is responsible for determining its role under data protection law and for ensuring that any required data processing agreement, notices, consents and safeguards are in place.

19. Confidentiality

Each party must keep confidential non-public information received from the other party that is marked confidential or should reasonably be understood to be confidential.

Confidentiality obligations do not apply to information that is publicly available without breach, was lawfully known before disclosure, is independently developed without using confidential information, is lawfully received from a third party, or must be disclosed by law, court order, regulator or competent authority.

20. Intellectual Property

Therapeak and its licensors own all rights, title and interest in Therapeak, including software, algorithms, models, workflows, designs, text, graphics, interfaces, databases, reports, know-how, documentation, trademarks, trade names, logos and other intellectual property.

Subject to these Terms, Therapeak grants you a limited, personal, non-exclusive, non-transferable, revocable right to use Therapeak for its intended purpose.

You do not acquire ownership of Therapeak or any Therapeak intellectual property.

You may not copy, modify, distribute, sell, rent, sublicense, reverse engineer, decompile, extract, reproduce or create derivative works from the Service except where expressly permitted by Therapeak or mandatory law.

21. Feedback

If you provide feedback, suggestions, ideas or improvement proposals, Therapeak may use them without restriction or compensation, provided this does not override confidentiality, data protection or other mandatory legal obligations.

22. Security

Therapeak uses technical and organisational measures designed to protect the Service.

You are responsible for maintaining the security of your devices, networks, login credentials and integrations.

You must promptly notify Therapeak of suspected unauthorised access, security incidents, vulnerabilities or misuse.

You must not conduct penetration testing, vulnerability scanning, load testing or security research on the Service without Therapeak's prior written permission.

23. Suspension and Termination by Therapeak

Therapeak may suspend or terminate access to Therapeak if:

  1. you breach these Terms;
  2. payment is overdue;
  3. continued access creates legal, security, operational or reputational risk;
  4. you misuse the Service;
  5. you use Therapeak for prohibited medical, emergency or unlawful purposes;
  6. Therapeak is required to do so by law, court order, regulator or competent authority.

For Consumers, suspension or termination will be subject to mandatory consumer protection rules.

Where reasonable and legally permitted, Therapeak will notify you of the reason for suspension or termination and give you an opportunity to remedy the issue.

24. Termination by You

You may stop using Therapeak at any time.

You may cancel your Subscription in accordance with Section 9.

You may request deletion of your account in accordance with the account deletion procedure described in the Service or Privacy Notice.

Cancellation of a Subscription does not automatically delete your account unless you separately request account deletion.

25. Consequences of Termination

Upon termination:

  1. your right to access Therapeak ends;
  2. you must stop using the Service;
  3. outstanding fees remain payable, unless mandatory law provides otherwise;
  4. Therapeak may retain data where required for legal, accounting, security, dispute-resolution or compliance purposes;
  5. provisions intended to survive termination remain in effect.

26. Disclaimers

To the maximum extent permitted by law, Therapeak is provided on an "as is" and "as available" basis.

Therapeak does not warrant that:

  1. the Service will be uninterrupted, error-free or always available;
  2. all outputs will be accurate, complete or suitable for your circumstances;
  3. coaching content will achieve any specific outcome;
  4. AI outputs will be free from error, bias or hallucination;
  5. the Service will meet all individual expectations or institutional requirements;
  6. third-party integrations will remain available.

This section does not limit mandatory consumer rights.

27. Limitation of Liability

Nothing in these Terms excludes or limits liability where such exclusion or limitation is unlawful, including liability for intent, deliberate recklessness, death or personal injury caused by negligence, fraud, mandatory consumer rights or any other liability that cannot be excluded by law.

Subject to the above, Therapeak is not liable for:

  1. indirect damage;
  2. consequential loss;
  3. loss of profit;
  4. loss of revenue;
  5. loss of goodwill;
  6. loss of business opportunity;
  7. loss or corruption of data, except where mandatory law provides otherwise;
  8. business interruption;
  9. decisions made without appropriate professional or human review;
  10. misuse of Therapeak;
  11. use of Therapeak for medical, emergency or prohibited purposes;
  12. inaccurate or incomplete User Content;
  13. third-party services;
  14. unauthorised access caused by your failure to secure credentials or systems.

For Business Users, Therapeak's total aggregate liability arising out of or relating to Therapeak is limited to the fees paid by the Business User to Therapeak for the relevant Service during the 6 months preceding the event giving rise to liability, unless mandatory law requires otherwise.

For Consumers, Therapeak's liability is limited only to the extent permitted by applicable consumer law.

28. Indemnity for Business Users

Business Users agree to indemnify and hold Therapeak harmless against claims, damages, penalties, costs and expenses arising from:

  1. unlawful use of Therapeak;
  2. use of Therapeak for medical or prohibited purposes;
  3. failure to obtain required consents or provide required notices;
  4. breach of data protection, employment, consumer, healthcare or professional obligations;
  5. inaccurate or unauthorised User Content;
  6. unauthorised integrations with third-party systems;
  7. breach of these Terms.

This indemnity does not apply to Consumers.

29. Complaints and Support

Questions, complaints, privacy questions, AI-output concerns or support requests may be submitted to:

Therapeak will handle complaints within a reasonable period and in accordance with applicable law.

30. Export Control and Sanctions

You must not use, access, export, re-export or make available Therapeak in violation of applicable export control, sanctions, embargo or trade restriction laws.

Therapeak may restrict access where required to comply with such laws.

31. Force Majeure

Therapeak is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, strikes, epidemics, power failures, internet failures, cloud-provider failures, cyberattacks, governmental action, regulatory restrictions or other force majeure events.

This does not limit mandatory obligations that cannot be excluded by law.

32. Changes to these Terms

Therapeak may update these Terms from time to time.

Where changes materially affect your rights or obligations, Therapeak will provide reasonable notice where required by law.

Continued use of Therapeak after the effective date of updated Terms means you accept the updated Terms, unless mandatory law requires another mechanism.

For Consumers, changes will not reduce mandatory rights retroactively.

33. Assignment

You may not assign or transfer your rights or obligations under these Terms without Therapeak's prior written consent.

Therapeak may assign or transfer its rights and obligations to an affiliate, successor, acquirer or purchaser of relevant assets, provided this does not unlawfully reduce Consumer rights or mandatory legal protections.

34. Severability

If any provision of these Terms is found invalid, unlawful or unenforceable, the remaining provisions remain in effect.

The invalid provision will be replaced by a valid provision that most closely reflects the original purpose, to the extent permitted by law.

35. Entire Agreement

These Terms, together with any applicable order form, subscription terms, privacy notice, data processing agreement and product-specific terms, form the entire agreement between you and Therapeak regarding Therapeak.

In case of conflict:

  1. mandatory law prevails;
  2. a signed written agreement prevails over these online Terms for the same subject matter;
  3. product-specific terms prevail over general terms for that product;
  4. these Terms prevail over general website statements.

36. Governing Law

If you are a Consumer, these Terms and any dispute arising out of or in connection with them are governed by the laws of the country in which you have your habitual residence, and you enjoy the full protection of the mandatory provisions of that law.

If you are a Business User, these Terms are governed by the laws of the Republic of Türkiye, excluding its conflict-of-law rules and without prejudice to mandatory rules that apply irrespective of the chosen law.

37. Dispute Resolution and Jurisdiction

The parties will first attempt to resolve disputes through good-faith consultation.

If you are a Consumer, you may bring proceedings before the competent courts of the country in which you have your habitual residence, and proceedings against you may be brought only before those courts, unless mandatory law provides otherwise.

If you are a Business User, disputes arising out of or relating to these Terms or Therapeak will be submitted exclusively to the competent courts of Istanbul, Türkiye, unless mandatory law provides otherwise.
